Forming a Pennsylvania LLC, Step by Step

Before anything else, the essentials:

Pennsylvania speaks its own dialect of business law. Nobody here files "Articles of Organization," and there is no Secretary of State to mail them to. Once you translate the vocabulary, the process itself is short.

The Six Steps

  1. Run the name search. Pull up the Department of State's records and confirm your name is distinguishable from everything already registered. It also needs an LLC designator, such as "Limited Liability Company" or "LLC," somewhere in it.
  2. Decide how you will meet the registered office rule. Under 15 Pa.C.S. § 8825, an LLC must keep a registered office in Pennsylvania at all times. That can simply be your own street address in the state, or you can name a Commercial Registered Office Provider (a CROP, authorized by 15 Pa.C.S. § 109) instead of listing an address. No statute here obligates you to hire a registered agent.
  3. Prepare DSCB:15-8821 and the docketing statement as a pair. The certificate carries the company name, the registered office or CROP designation, and the organizer details; the docketing statement (DSCB:15-134A) rides along with it.
  4. Submit through file.dos.pa.gov and pay the $125. The Business Filing Services portal handles the whole transaction online, and paper filing with the Bureau of Corporations and Charitable Organizations remains an option.
  5. Handle the internal paperwork. Draft an operating agreement, which stays in your records rather than the state's, and request a free EIN straight from the IRS.
  6. Mark the annual report window on your calendar. Form DSCB:15-146 is due each year between January 1 and September 30, at $7 per filing, starting with the calendar year after the one in which you registered.

Why Pennsylvania Says "Registered Office" Instead of "Registered Agent"

The Commonwealth decided long ago that what matters is a dependable in-state location for legal notices, not a named individual. So § 8825 anchors every LLC to an office, which may but need not be its place of business, and § 109 lets a recognized provider stand in for the address entirely.
